General Terms and Rules for Use
Welcome to FileLocal-wa.org and FileLocal.org (“FileLocal”), powered by Avenu Insights & Analytics.
Use of this Site is governed by the following terms and conditions.
1. This Site is protected by copyright, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable right to use the Site under the
limitations described herein. All rights not expressly granted to you in these General Terms
and Rules for Use are reserved and retained by Avenu Insights & Analytics.
You will not use the Site for any purpose that is illegal, or that could damage, disable, or impair the Site.
You will not attempt to reverse engineer, decompile, disassemble, or tamper with the software.
You will not attempt to incorporate the software into your own services.
You will not attempt to gain access into unauthorized areas or content through hacking or other means.
You may print or electronically save content from the Site for your business records, but you may not
use it for any commercial purposes.
2. You agree that all agreements, notices, disclosures and other communications that we provide to
you electronically satisfy any legal requirement that such communications be in writing.
3. Filing Electronically. Any business or organization ("business") conducting business activity
within the cities accepting tax payments or license applications through FileLocal may elect to use
Electronic Filing to electronically submit General Business license applications, Business & Occupation,
and Utility tax forms and their corresponding payments to those municipalities.
4. Usernames. You may set up an Electronic Filing account for your business and create one Username ("user")
on that account. All Usernames created by the business must be for business personnel or associates
permitted and authorized by the business to submit transactions on behalf of the business.
You are responsible for maintaining the confidentiality of your password and restricting access to your account.
You are responsible for all activity and transactions that occur under your account.
5. Use of Electronic Filing constitutes an agreement to abide by the rules, terms, and conditions of this site.
We reserve the right to make changes to our site, policies, Service Terms, and these Conditions of Use at any time.
If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition
shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
6. Transactions. The transactions available through Electronic Filing online forms and payment are provided
in conjunction with participating municipalities. Users seeking to complete any transaction not available
through Electronic Filing must contact the municipality for more information and instructions.
7. Information Provided On This Site.

Information provided on administration and fee rate schedules reflected on FileLocal are updated at
regular intervals in accordance with procedures approved by the participating cities and Avenu Insights & Analytics.
You should not assume that the information contained on this site has been updated or otherwise
contains the most current information.

While all attempts are made to provide accurate, current and reliable information, there is the
possibility of error. Avenu Insights & Analytics and FileLocal expressly deny any warranty of the accuracy,
reliability, or timeliness of such information.

Information provided on this site shall not be construed as professional tax opinion or advice.
You understand that Avenu Insights & Analytics will not audit or verify the information you provide, and
that you alone are responsible for the information you provide.

Avenu Insights & Analytics is not responsible for any loss of data or documents submitted through the Site.
You should back up your information frequently.

You are responsible for all information uploaded through the system, and agree to only use the
system for legitimate tax-filing or licensing-related communications. You are prohibited from
using the system to transmit information or communications which are illegal, fraudulent,
offensive, or inappropriate. You are further prohibited from using the system to transmit viruses,
Trojan horses, or other harmful software or data.
8. Duplicate Filings. If a transaction is submitted using Electronic Filing, the business should not file
the equivalent paper version of the transaction. Any concerns over potential duplicate filings should be
addressed directly with the city/cities involved.
9. Overpayments and Transactional Site Errors. In the event that you submit multiple payment transactions
in error, you should contact the municipality in order to submit a written request for a refund of moneys paid.
This system does not have the capability to identify overpayments made or to provide automatic refunds.
10. Amending a Transaction. For transactions that include payment of an amount due, payment instructions
must be provided at the time the transaction is submitted for processing. Once a transaction’s status has
been changed to “Filed,” you may not be permitted to amend the transaction.
11. Additional Penalties. If payment is rejected or returned by the bank specified by the user, additional
penalties, interest and banking fees could apply. In addition, your business will be subject to each
municipality’s rules regarding payment deadlines, interest, penalties, and fee charges. Avenu Insights & Analytics does
not determine the amount of tax, interest, court cost, or penalty owed to the state, county, or municipal
governing authority.
12. Additional Payments Made. If there is a subsequent payment by check of any unpaid balance, the check
must display the municipality’s account number and the confirmation number from the Electronic Filing session.
13. Incomplete Filings. No transaction will be submitted until the user has completed the entire on-line
transaction process using the navigation prompts provided on-screen. The Electronic Filing session
confirmation screen serves as verification of a completed transaction. The user should not log off or
shut down the web browser until the user has completed all parts of the transaction (including entry of
data and payment information as applicable) and received confirmation of submission of the transaction.
To receive a confirmation time-stamped for the day the transaction was entered, the user must complete
the entire transaction process before midnight Pacific Time.
14. DISCLAIMER. THIS SITE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND
INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OF INTELLECTUAL PROPERTY, OR FITNESS FOR ANY
PARTICULAR PURPOSE. YOU ACCEPT ALL RISK, INCLUDING ALL RISK WITH RESPECT TO SUITABILITY, USE AND PERFORMANCE
IN CONJUNCTION WITH YOUR HARDWARE, BROWSER AND INTERNET CONNECTION. Avenu Insights & Analytics, FileLocal,
AND/OR A PARTICIPATING MUNICIPALITY further do not warrant the accuracy or completeness of the information,
text, graphics, links or other items contained within this Site. We may make changes to these Terms at any time.
Notice of changes will be sent electronically via email to FileLocal users, and revisions will be timely
posted to the website.Avenu Insights & Analytics disclaims any representation or warranty that your use of this Site
will ensure compliance with any legal obligations, laws, or regulations.
15. LIMITATION OF LIABILITY. IN NO EVENT SHALL Avenu Insights & Analytics, FileLocal, AND/OR A PARTICIPATING MUNICIPALITY
BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS
INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SITE, EVEN IF Avenu Insights & Analytics,
FileLocal, AND/OR A PARTICIPATING MUNICIPALITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, THE ENTIRE LIABILITY OF AVENU INSIGHTS & ANALYTICS, FILELOCAL, AND/OR A
PARTICIPATING MUNICIPALITY FOR ALL CLAIMS RELATING TO THIS SITE SHALL BE LIMITED TO THE AMOUNT YOU PAID TO USE
THIS SITE IN THE ONE YEAR PERIOD PRIOR TO SUCH CLAIM. YOU AGREE THAT ANY DISPUTE CONCERNING YOUR USE OF THIS
SITE MUST BE PURSUED THROUGH MANDATORY AND BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR IN SEATTLE, WASHINGTON,
AND NOT IN A JUDICIAL FORUM. ARBITRATION WILL BE CONDUCTED UNDER THE AMERICAN ARBITRATION ASSOCIATION’S
COMMERCIAL ARBTIRATION RULES WITH EXPEDITED PROCEDURES. YOU AGREE TO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS
ACTION OR LITIGATE OR ARBITRATE ON A CLASS-WIDE BASIS. YOU AGREE THAT YOU HAVE EXPRESSLY AND KNOWINGLY WAIVED
THESE RIGHTS.
16. APPLICABLE LAW. By using this Site, you agree that any claim relating to this Site shall be governed
by the internal laws of the State of Washington, without regard to its conflict of laws principles.
